Terms & Conditions for xTool M2 Color Craft Laser 100 Creator Calling
These Terms & Conditions (these “Terms”) govern your access to and participation in the xTool M2 Color Craft Laser 100 Creator Calling program (the “Program”). The Program is open for applications from April 1 to April 25 and is intended to be made available on xTool’s official sites for the United States, the United Kingdom, Germany, France, Canada, Japan, Australia, and Poland.
By accessing, applying for, submitting materials to, or otherwise participating in the Program, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you must not participate in the Program.
1. About Us
The Program is organized and operated by xTool and its relevant affiliates (“xTool,” “we,” “us,” or “our”) through xTool’s official websites, landing pages, forms, social media channels, and related communication channels (collectively, the “Platform”).
The Program is a creator recruitment and selection initiative under which eligible participants may submit information, project ideas, images, videos, text, and other materials in order to apply to become selected creators for the M2 Color Craft Laser 100 Creator Calling campaign.
2. Purpose of These Terms
These Terms are intended to ensure that the Program is conducted in a fair, transparent, and orderly manner, and to set out the rules applicable to your participation in the Program, including eligibility, submission requirements, selection, rewards, privacy, intellectual property, prohibited conduct, disclaimers, and dispute resolution.
These Terms, together with our Privacy Policy and any additional rules, instructions, FAQs, or policies published on the Platform in connection with the Program, form the entire agreement between you and xTool regarding your participation in the Program.
3. Eligibility
3.1 You must reach 18 years old or the legal age of majority in your jurisdiction to participate in the Program. If you are under 18 years old or have not reached the legal age of majority in your region, you need the consent of your parents or legal guardian before participating in the Program.
3.2 Your submissions must be original or fully authorized by the right owner and not have been authorized for commercial use to any organization or individual, whether paid or unpaid.
3.3 You will be disqualified for participation in any of the following situations:
Your submission is judged by the review panel to be plagiarized.
You are found to be ineligible for participation at the time of judging.
Provide false information or violate relevant laws and regulations.
Infringe any legal rights of third parties, including but not limited to intellectual property rights, rights of publicity or privacy, any duties of confidentiality, reputation rights and personality rights.
Submit any entry or engage in any conduct in the Program that is false, defamatory, infringing, harmful, pornographic, offensive, bullying, harassing, scandalous, hateful, inflammatory, threatening, profane, obscene, invasive of privacy, or otherwise objectionable, including but not limited to promoting illegal activity, having explicit sexual depictions, promoting violence, and any content and conduct that is discriminatory, illegal, causes or is likely to cause damage or injury to personal property, or may give rise to civil, criminal or other violations under applicable laws.
4. Program Period and Availability
4.1 Unless otherwise announced by xTool, the application period for the Program is from April 1 through April 25 (the “Application Period”). Notwithstanding the foregoing, xTool may open applications earlier in specific markets through designated official channels, including offline recruitment in Germany from March 25 through March 29 in connection with the Creativa exhibition. If fewer than one hundred (100) creators are recruited during the initial Application Period, xTool reserves the right, in its sole discretion, to extend the Application Period, close applications as scheduled and reopen recruitment at a later time, or otherwise adjust the recruitment timeline and process through official notice, until the target number of one hundred (100) creators has been reached.
4.2 The Program is intended to be launched through xTool’s official sites for the following regions: United States, United Kingdom, Germany, France, Canada, Australia, Japan, and Poland. xTool reserves the right to limit, suspend, modify, or discontinue availability of the Program in any country, region, language, or platform at any time, to the extent permitted by applicable law. Recruitment under the Program shall be opened on a priority basis in Europe and North America, while any launch in other markets shall be subject to xTool’s sole discretion and official announcements.
5. How the Program Works
Through the Platform, you may:
(a) review Program information;
(b) submit your application and related materials;
(c) upload photos, videos, text, project ideas, or other materials;
(d) receive communications regarding the Program; and
(e) if selected, participate in subsequent creator collaboration arrangements subject to separate terms if required by xTool.
Submission of an application does not guarantee selection, reward, collaboration, or any future relationship with xTool.
6. Submission Requirements
6.1 Any photos, videos, text, images, project concepts, descriptions, or other materials submitted by you in connection with the Program (collectively, “Submissions”) must:
(a) be original to you, or be fully and lawfully authorized by the relevant rights holder;
(b) not have been submitted in violation of any duty of confidentiality;
(c) not infringe, misappropriate, or otherwise violate any third party’s rights, including intellectual property rights, rights of publicity, portrait rights, privacy rights, reputation rights, personality rights, or contractual rights; and
(d) not have been authorized by you for unauthorized commercial use by any third party in a manner that would conflict with the rights granted under these Terms or the Program.
6.2 Your Submissions must not:
(a) be false, misleading, deceptive, or materially incomplete;
(b) contain plagiarized or copied material;
(c) contain defamatory, infringing, abusive, threatening, hateful, discriminatory, harassing, obscene, pornographic, scandalous, violent, or otherwise objectionable material;
(d) promote or depict illegal activities;
(e) promote violence, dangerous conduct, or unsafe product usage;
(f) contain content that violates public order, morality, or applicable laws and regulations; or
(g) otherwise be unsuitable for the Program, as determined by xTool in its reasonable discretion.
6.3 You are solely responsible for your Submissions and for ensuring that they comply with these Terms and applicable law.Before submitting any materials, you should carefully review them to ensure they do not contain unnecessary, accidental, or sensitive personal information.
7. Selection and Review
7.1 All applications and Submissions may be reviewed by xTool and/or its designated review panel, team members, agents, or service providers.
7.2 Selection may be based on factors including, without limitation:
(a) your creative background and relevant experience;
(b) the quality and originality of your proposed project, or content concept;
(c) your content style, publishing habits, and communication format;
(d) your fit with the Program theme, campaign goals, and brand direction; and
(e) any other factors xTool considers relevant to the Program.
7.3 xTool reserves the right to make the final decision regarding selection, shortlist determination, winner/creator selection, rejection, or disqualification. xTool is not obligated to provide reasons for any decision unless required by applicable law.
8. Rewards and Creator Benefits
8.1 Participants selected by xTool for the Program may receive one or more of the following, as determined by xTool in its sole discretion:
(a) one M2 Color Craft Laser device (specific model as designated by xTool);
(b) eligibility to join an official creator community;
(c) an opportunity to be featured or recommended on xTool’s official channels.
8.2 Unless otherwise expressly agreed in writing by xTool, any reward, benefit, qualification, or opportunity under the Program:
(a) is personal to the selected participant;
(b) may not be transferred, assigned, sold, exchanged, or resold; and
(c) may not be redeemed for cash or substituted by the participant.
8.3 If a reward cannot be delivered due to inaccurate, incomplete, or outdated information provided by you, or your failure to respond within a reasonable period specified by xTool, xTool may deem that you have voluntarily forfeited the relevant reward or benefit.
8.4 If you are selected for further collaboration with xTool, such collaboration may be subject to separate agreements, campaign instructions, product terms, or creator collaboration terms.
9. Privacy and Personal Information
You agree and acknowledge that you shall provide authentic and accurate personal information, including your name, contact number, email address, and correspondence address, for the purposes of contact and award distribution. xTool shall collect and process your personal information solely for the aforementioned purposes and to the extent permitted by applicable laws. Before uploading submissions, you shall check whether your submissions containing unwanted or unexpected personal information. By uploading the submissions, you agree to authorize xTool to use, with or without modification, your submissions for campaigns and product and brand marketing and advertising. For more information about how xTool processes and protects your personal data, please refer to the https://www.xtool.com/policies/privacy-policy . You shall guarantee that the personal information provided by you is complete and accurate. xTool shall contact you to verify your registration information after the announcement of the award. If an award cannot be distributed to you due to incomplete personal information, it shall be deemed that you have waived the right to claim the award, and no award shall be distributed to you.
10. Intellectual Property and Other Rights
10.1. You represent and warrant that all contents you submit to xTool through the Website are all your original works or legally licensed (and sub-licensed) by their original right owners, and not copied or stolen from others. The intellectual property rights of the contents shall belong to you or their original owners. The work you submit must not infringe any rights of third parties, including intellectual property rights, rights of publicity or privacy, any duties of confidentiality, reputation rights and personality rights, etc. xTool reserves the right to remove you from the contest, require you to return all prizes and proceeds received from xToolbased on your submission, and compensate for all losses caused to xTool.
10.2 This Agreement also governs Bambu Lab's use of the name, nickname, portraits, rights of publicity, voice, live or recorded performance, autograph, photographs and biographical information of you or any third parties as included in your contents or works. You represent and warrant that you have obtained the appropriate licenses, permissions, and/or releases from all people that recognizably appear in your contents, including the real names (if any), nicknames, portraits , voices, live or recorded performances, autographs, photographs and biographical information of such third-party individuals, and the owner of any music, images, video, audio, photos, text, or other material embedded within the contents or works. Your performance of this Agreement, will not violate or conflict with any of your obligations to third parties; your submission of content or the act of submitting content itself will not violate the legal rights of any third party; and you will comply with all applicable laws, regulations and provisions applicable to this Agreement.
10.3 You agree to authorize xTool to use, with or without modification, your submissions for campaigns and product and brand marketing and advertising for permanent, for free, and for both commercial and noncommercial purposes including but not limited to global social media, print media, printing, photography exhibitions, retail stores, road shows, out-of-home advertising, and other online and offline marketing activities. In light of the preceding information, xToolshall not issue further notice to inform you or seek your approval when using your submissions. xTool also reserves the right to sublicense the foregoing rights to its affiliates as well as strategic partners without further notice to inform you or seek your approval.
10.4 If your Contents contain photographs or digital or video images that depict a child that is under the age of majority in their state of residence, you represent that You have written permission from the minor’s parent or guardian to provide the photo, digital, or video image for commercial use.
11. Disclaimers
11.1 To the maximum extent permitted by applicable law, the Platform and Program are provided on an “as is” and “as available” basis.xTool does not guarantee:
(a) that the Platform will always be available, uninterrupted, secure, or error-free;
(b) that submissions will be successfully uploaded, received, stored, or processed without issue;
(c) that the Program will continue in any particular form, market, or timeframe; or
(d) that any participant will be selected or receive any reward.
11.2 To the maximum extent permitted by applicable law, xTool is not responsible for:
(a) failed applications, transmission failures, delays, or information loss caused by technical issues, network interruptions, device failures, software incompatibility, or system errors;
(b) delays, interruptions, suspension, or cancellation caused by maintenance, updates, platform changes, security incidents, or events beyond xTool’s reasonable control; or
(c) inability to deliver rewards due to inaccurate information provided by participants.
11.3 xTool shall not be liable for any delay, suspension, modification, or cancellation of the Program resulting from force majeure events or other circumstances beyond xTool’s reasonable control, including natural disasters, governmental actions, labor disputes, public emergencies, internet failures, cyber incidents, supply disruptions, or similar events.
12. Limitation of Liability
To the maximum extent permitted by applicable law:
(a) xTool shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, business, revenue, opportunity, goodwill, or data, arising out of or relating to the Program, Platform, or these Terms;
(b) your participation in the Program is at your own risk; and
(c) xTool’s aggregate liability arising out of or in connection with the Program or these Terms shall not exceed the value of the reward.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
13. Indemnity
You agree, to the extent permitted by applicable law, to defend, indemnify, and hold harmless xTool, its affiliates, officers, directors, employees, agents, partners, service providers, and licensors from and against any third-party claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
(a) your breach of these Terms;
(b) your Submissions;
(c) your infringement or alleged infringement of any third party’s rights; or
(d)your violation of applicable law.
14. Changes, Suspension, or Termination of the Program
xTool reserves the right, at any time and to the extent permitted by applicable law, to:
(a) modify these Terms;
(b) amend the Program rules, selection criteria, timing, rewards, or operating process;
(c) suspend or terminate the Program in whole or in part; or
(d) restrict access to the Program or Platform,
including for technical, legal, regulatory, operational, security, or business reasons.
If xTool makes a material change to these Terms or the Program, we may provide notice through the Platform or other official channels where reasonably appropriate.
15. Termination or Suspension of Participation
xTool may suspend, restrict, or terminate your participation in the Program immediately, with or without prior notice to the extent permitted by law, if:
(a) you violate these Terms;
(b) you provide false or misleading information;
(c) you engage in fraudulent, abusive, illegal, or harmful conduct;
(d) a governmental authority or legal process requires action;
(e) urgent maintenance, safety, or compliance reasons require action; or
(f) xTool reasonably determines that continued participation is not appropriate.
Termination or suspension does not affect any provisions of these Terms that by their nature should survive, including provisions relating to intellectual property, license, privacy, disclaimers, limitation of liability, indemnity, and dispute resolution.
16. Governing Law and Dispute Resolution
The formation, interpretation, and operation of this Agreement are governed by and construed in accordance with the laws of the People's Republic of China. You and xTool agree that this Agreement is signed in Shenzhen, Guangdong Province, the People's Republic of China. Any dispute arising from the performance of the contracts between the two parties shall be settled through negotiation. If the negotiation fails, any dispute, controversy, difference or claim arising out of or relating to this contract, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted.The law of this arbitration clause shall be Hong Kong law. The seat of arbitration shall be Hong Kong.The number of arbitrators shall be one. The arbitration proceedings shall be conducted in English.
17. General Terms
These Terms constitute the entire agreement between you and xTool regarding the Program, except for any additional written agreement you may later enter into with xTool.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
xTool’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
xTool may assign, transfer, subcontract, or delegate any of its rights or obligations under these Terms to any affiliate or successor, to the extent permitted by law.
You may not assign or transfer any rights or obligations under these Terms without xTool’s prior written consent.
